Yeah, with any intake mods that change your airflow rate, you'll have to rejet. The K&N filter flows probably twice as much air as the stock filter, so you'll need more fuel to compensate unless you like working on your ride a lot...I'd punch some holes in the box lid and put some UNI filters in there too..but if you do that you might as well go ahead and buy pipes..I wouldn't worry about a filter until I got a set of good pipes..

That would be your best bet, and with Shearers I hope you plan on running wide open a lot, they really aren't much good until you hit about 6500 or 7000, that's when they start to make power...and I'd do some porting to match, and probably have my flywheel lightened if I were you...

Your going to be running shearers and the stock airbox?

ID suggest not doing that, Its gonna be all choked up (horribly). Run K&N Clampons with outwears. as long as your not submarining through lakes you will be ok.

Absolutely.

I have the toomey 2:1 filter (gonna get K&N's eventually.) and ive went through some pretty good water, The outwears do a good job of deflecting water.

Ive gotten water above the intake before and i hit the kill switch coming out of the water and then disasmbled the carbs and everything and used the tube off the fuel petcock to flush fuel through everything. Dryed out the filter and it started up fine. Just never let the engine run and suck in the water.

Just as a side note, from your posts i dont think you realize what kind of beast your putting together. Its gonna be way to much for trails etc. Shearers are a DRAG pipe and need to breath, so you need good intakes. FYI when you remove the stock airbox your going to need to buy a coolant resevoir get this one
